News of Yahoo's $640 million cash purchase of video-ad startup BrightRoll Inc is trending. But what you may not have heard, is two top-10 Yahoo investors are so unhappy with CEO Marissa Mayer that they are personally approaching Tim Armstrong to consider a merger.
BrightRoll marks Yahoo's largest deal since Alibaba's IPO this October, and its second largest since Marissa Mayer's tenure as CEO. Ostensibly, Mayer believes that acquiring the eight-year-old startup will help Yahoo catch up to Google and AOL in online video advertising. The acquisition comes about a month after activist investor Starboard Value LLP drafted an open letter encouraging Mayer to cease all acquisitions and pursue a merger with AOL.
A merger may be a tenuous prospect at this point, given that Yahoo just bought a direct competitor to AOL's Adap.TV advertising platform. But, that hasn't stopped several major Yahoo shareholders from seeking Tim Armstrong's talents. A former Google exec, Armstrong is widely regarded as the savior of AOL's brand, having roughly doubled the company's market cap during his tenure. Investors in favor of a merger believe that Armstrong's history at AOL makes him the ideal person to guide Yahoo to glory.
Yahoo's SVP of advertising and data platforms, Scott Burke, has said that a return to growth in online display is Yahoo's " number one focus" for 2015. According to a blog post written by Mayer, BrightRoll expects a revenue of about $100 million this year. Yahoo will have to bank on BrightRoll's success to offset some of the 19% of US online video ads sold on Google's YouTube. This is Yahoo's opportunity to be a prominent player in video. All eyes will be on Marissa Mayer and the performance of her latest acquisition. Time will soon tell if activist investors get the merger they seek.
